1. AGREEMENT TO TERMS

These Terms of Use constitute a legally binding agreement made between you, whether personally or on behalf of an entity ("you", "User", "Distributor", or "Participant") and Oneglint Media Solutions Private Limited ("Company", "Memzo", "we", "us", or "our"), concerning your access to and use of the https://memzo.ai website, our mobile applications, and any related media channels, software, or SaaS services (collectively, the "Site" or "Services").

You agree that by accessing the Site or Services, (i) you have read, understood, and agree to be bound by all of these Terms of Use, and (ii) you warrant to us that you are of legal age (18 years or older) or possess valid legal authority to enter into this agreement.

IF YOU DO NOT AGREE WITH ALL OF THESE TERMS OF USE, THEN YOU ARE EXPRESSLY PROHIBITED FROM USING THE SITE AND SERVICES AND YOU MUST DISCONTINUE USE IMMEDIATELY.

2. SAAS ECOSYSTEM & ROLE DEFINITIONS

Memzo provides AI-powered facial recognition photo-matching and distribution software. To comply with global data privacy frameworks (including India's DPDPA 2023, GDPR, and CCPA/CPRA), the responsibilities of platform users are defined as follows:

• Event Photo Distributors (Organizers & Photographers): Act as Data Controllers / Data Fiduciaries. Distributors are solely responsible for determining the purpose of processing, uploading event media, establishing distribution settings (Free vs. Paid), and obtaining all necessary explicit consents from event participants prior to uploading images or initiating facial recognition features.
• Event Participants (Guests & End-Users): Act as Data Subjects / Data Principals. Participants use our Services to locate, view, or purchase personal media via opt-in selfie photo-matching.
• Memzo (The Platform): Acts as the Data Processor. We process account data, selfies, and event media strictly in accordance with features configured by the Event Distributor and choices executed by the Participant.

3. FACIAL RECOGNITION & BIOMETRIC DATA CONSENT

By uploading a selfie or using Memzo's AI photo-finding feature, you explicitly consent to the generation and temporary storage of a numerical facial vector template derived from your selfie image.

• Purpose: Facial templates are generated solely to identify and display photos in which you appear across designated event galleries.
• No Sale of Biometrics: Memzo does not sell, rent, lease, or monetize facial recognition templates, selfies, or biometric data to any third party.
• Retention & Erasure: Biometric data lifecycle and deletion mechanisms are strictly governed by Section 8 of our Privacy Policy.

4. INTELLECTUAL PROPERTY RIGHTS & MEDIA OWNERSHIP

A. Platform Proprietary Rights

Unless otherwise indicated, the Site, software architecture, AI algorithms, source code, databases, website designs, trademarks, service marks, and logos (collectively, the "Content" and "Marks") are owned or controlled by us or licensed to us, and are protected by copyright, trademark, and intellectual property laws of India and international conventions.

B. Event Photos & User-Generated Content

• Distributor Ownership: Event Photo Distributors retain all underlying copyrights to the photographs they upload to Memzo. By uploading photos to the Services, Distributors grant Memzo a worldwide, non-exclusive, royalty-free license to host, process, cache, compress, display, and execute AI vector processing solely to facilitate event photo discovery and distribution.
• Participant Rights: Uploading a selfie grants Memzo a limited license to process the image for real-time photo-matching. Participants retain full ownership of their personal selfies and account information, subject to the privacy policy section 10.

5. USER REPRESENTATIONS & CONSENT RESPONSIBILITY

By using the Site, you represent and warrant that:

• All registration and profile information you submit is true, accurate, current, and complete.
• You will maintain the accuracy of such information and promptly update it as necessary.
• You have the legal capacity and agree to comply with these Terms of Use.
• You are not a minor in the jurisdiction in which you reside (or are using the Site under verifiable parental/guardian oversight).
• If you are an Event Distributor: You warrant that you have secured all mandatory legal authorizations, model releases, and explicit privacy consents from event attendees prior to uploading their photographs or enabling biometric AI indexing on Memzo.
• You will not access the Site through automated or non-human means, whether through a bot, script, or scraping tool.

6. FEES, PAYMENTS & THIRD-PARTY PROCESSORS

We support online billing and commercial photo unlocks through secure payment gateways:

• Payment Providers: Transactions are processed via PCI-DSS compliant third-party gateways, including Razorpay and Stripe. We accept Visa, Mastercard, American Express, Discover, PayPal, and UPI.
• Currency: Billing will occur in Indian Rupees (INR), U.S. Dollars (USD), or regional currencies as specified at checkout.
• Accuracy & Taxes: You agree to provide current, complete, and accurate purchase details. Applicable taxes (GST/Sales Tax) will be added to the price of purchases as required by law.
• Sub-processors: You acknowledge that infrastructure, notifications, analytics, and asset downloads are facilitated via third-party sub-processors including Amazon Web Services (AWS), DigitalOcean, Sinch, Twilio, MSG91, Wati, Tidio, SendGrid, Google Analytics, and Microsoft Clarity, as detailed in our Privacy Policy.

7. CANCELLATION & REFUNDS

• Digital Unlocks: Due to the instant digital nature of downloadable media and photo access unlocks, all completed paid photo purchases are final and non-refundable once media access is granted.
• Subscription & Event Services: Event Distributors purchasing subscription plans or prepaid photo-processing credits may cancel their service according to their specific commercial agreement terms by emailing support@memzo.ai.

8. PROHIBITED ACTIVITIES

You may not access or use the Site for any purpose other than that for which we make the Site available. As a user of the Site, you agree not to:

• Systematically retrieve data, media, or content to create or compile a database, directory, or facial recognition model without written permission from us.
• Upload photos containing unlawful, obscene, defamatory, violent, or sexually explicit content, or media depicting minors without verifiable guardian consent.
• Circumvent, disable, or interfere with security-related features of the Site or watermark protection controls.
• Attempt to reverse engineer, decompile, or extract the source code or underlying AI models of Memzo.
• Harass, intimidate, or harm any individual using media obtained through the platform.
• Use the platform in violation of any applicable local, national, or international privacy laws (including DPDPA, GDPR, CCPA, COPPA, and FERPA).

9. PRIVACY & DATA PROTECTION

Data privacy and security are central to our operations. Please review our full Privacy Policy, which is incorporated into and forms an integral part of these Terms of Use.

10. TERM AND TERMINATION

These Terms of Use remain in full force and effect while you use the Site. We reserve the right, in our sole discretion and without notice or liability, to deny access to and use of the Site (including blocking specific IP addresses or disabling accounts) to any person for any reason, including for breach of any representation, warranty, or covenant contained in these Terms of Use or applicable law.

11. GOVERNING LAW & JURISDICTION

These Terms and any dispute or claim arising out of or in connection with them shall be governed by and construed in accordance with the laws of the Republic of India.

Both you and Oneglint Media Solutions Private Limited irrevocably agree that the competent courts located in Hyderabad, Telangana, India shall have exclusive jurisdiction to resolve any dispute, claim, or controversy arising out of or relating to these Terms of Use or the use of our Services.

12. DISPUTE RESOLUTION & ARBITRATION

A. Informal Negotiations

To expedite resolution and control costs, the Parties agree to first attempt to negotiate any dispute or claim related to these Terms of Use informally for at least thirty (30) days prior to initiating formal legal proceedings or arbitration. Informal negotiations commence upon written notice.

B. Binding Arbitration

Any dispute arising out of or in connection with these Terms, including any question regarding their existence, validity, or termination, shall be referred to and finally resolved by arbitration administered under the Arbitration and Conciliation Act, 1996 of India (as amended).

• Seat & Venue: Hyderabad, Telangana, India.
• Language: English.
• Arbitrator: A sole arbitrator mutually appointed by both Parties.

13. LIMITATIONS OF LIABILITY

IN NO EVENT WILL WE OR OUR DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE TO YOU OR ANY THIRD PARTY FOR ANY INDIRECT, CONSEQUENTIAL, EXEMPLARY, INCIDENTAL, SPECIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFIT, LOST REVENUE, LOSS OF DATA, OR LOSS OF CONTENT ARISING FROM YOUR USE OF THE SITE OR SERVICES.

NOTWITHSTANDING ANYTHING TO THE CONTRARY CONTAINED HEREIN, OUR LIABILITY TO YOU FOR ANY CAUSE WHATSOEVER AND REGARDLESS OF THE FORM OF THE ACTION, WILL AT ALL TIMES BE LIMITED TO THE GREATER OF ONE THOUSAND INDIAN RUPEES (INR 1,000) OR THE TOTAL AMOUNT PAID BY YOU TO MEMZO IN THE THREE (3) MONTHS PRECEDING THE CLAIM.

14. INDEMNIFICATION

You agree to defend, indemnify, and hold us harmless (including our subsidiaries, affiliates, officers, directors, agents, and employees) from and against any loss, damage, liability, claim, or demand (including reasonable attorneys' fees) arising out of:

• Media or photo contributions uploaded by you.
• Failure to secure required attendee consents prior to uploading event media (for Event Distributors).
• Breach of these Terms of Use or violation of applicable privacy laws.
